Terms of Service

01 Eligibility

To use RockWin Investment, you must:

• Be at least 18 years old
• Be a resident of Kenya or an approved jurisdiction
• Provide accurate, current, and complete identification information as required for KYC compliance
• Not be prohibited by any applicable law from using the Service

02 Account registration & KYC

You agree to provide truthful information during registration, including your full legal name, National ID or Passport number, date of birth, phone number, email address, and next of kin details. You consent to RockWin Investment verifying this information against government databases and third-party KYC providers.

You are responsible for keeping your password secure. Notify us immediately at support@rockwin.co.ke if you suspect unauthorised access.

03 The investment

RockWin Investment operates an open-ended money market fund. When you deposit funds:

• Your money is converted into units at the prevailing NAV per unit
• Units represent your proportional ownership of the fund's underlying assets
• Interest accrues daily and is credited as units each morning, so it compounds automatically
• You may redeem your units at any time, subject to the redemption process

RockWin Investment does not guarantee returns. The fund's value may fluctuate based on market conditions.

04 Deposits & redemptions

4.1 Deposits

Deposits may be made via M-PESA, bank transfer, or other approved channels. Minimum initial investment is KES 1,000. Units are credited once payment is confirmed.

4.2 Redemptions

You may redeem units at any time. Redemption requests are processed within:

• 24 hours for M-PESA payouts
• 2–3 business days for bank transfers

A minimum balance of KES 1,000 must remain in your account unless you are closing it entirely.

05 Fees & taxes

RockWin Investment charges the following fees, deducted from fund assets (not from your account directly):

• Management fee: 1.20% p.a.
• Trustee fee: 0.15% p.a.
• Custodian fee: 0.10% p.a.

Interest earned is subject to a 15% withholding tax as required by the Kenya Revenue Authority (KRA). This tax is deducted at source and remitted directly to KRA.

06 Account suspension & closure

We may suspend or close your account if:

• We detect fraudulent or suspicious activity
• You violate these Terms or applicable laws
• We are required to do so by the CMA, KRA, or other regulators
• You fail to complete KYC verification

You may close your account at any time from the Settings page. Upon closure, your units will be redeemed and paid to your registered M-PESA or bank account.

07 Data & privacy

We collect, process, and store your personal data in accordance with our Privacy Policy and the Kenya Data Protection Act (2019). By using the Service, you consent to this processing.

08 Limitation of liability

To the maximum extent permitted by law, RockWin Investment Ltd, its directors, employees, and agents shall not be liable for:

• Investment losses due to market fluctuations
• Interruptions to the Service due to technical or network issues
• Delays caused by third-party payment providers
• Indirect or consequential damages arising from use of the Service

09 Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated via SMS and email at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance.

10 Governing law & dispute resolution

These Terms are governed by the laws of Kenya. Any dispute arising from the Service shall be resolved through:

• Good-faith negotiation between you and RockWin Investment
• Mediation, if negotiation fails
• Arbitration in Nairobi under the Chartered Institute of Arbitrators (Kenya Branch)
